1. General Agreement & Structural Authority

These Terms and Conditions (“Agreement”) govern the use of all digital architecture, website design, technical assets, managed cloud infrastructure, and telecommunication network services (“Service”) made available by New Wolf (Pty) Ltd. These terms represent the entire legal understanding between New Wolf (Pty) Ltd and the individual or registered corporate entity who subscribes to or contracts our services (“Subscriber”, “Client”, or “You”).

By submitting a digital form request, completing a checkout process on the New Wolf website, or executing a physical, email, or verbal service contract, you irrevocably agree to comply with all stipulations mapped herein. New Wolf (Pty) Ltd reserves the right to modify this agreement at any time, effective immediately upon publishing to our official domain matrix.

2. Digital Architecture & Web Development (Design Terms)

This section governs all front-end UI/UX wireframing, full-stack website engineering, app development, and structural optimization packages (Startup Launchpad, Corporate Core, E-Commerce Engine, Custom Engine Portal) managed by New Wolf Technologies.

-The Equal Partnership Rule & Milestones: To initiate a production sprint, the Client must settle a 50% development fee deposit upfront. No project initialization or engineering work will commence until this deposit clears into the New Wolf bank account. The remaining 50% balance is due instantly upon project completion, approval, and prior to live domain migration.

-The Asset Delivery Window (Anti-Stall Clause): Development windows run up to 30 working days from kick-off, heavily contingent on prompt client asset uploads. The Client holds sole responsibility for providing branding guides, vector logos, copy text drafts, and media assets within 14 business days of signing. If a project stalls indefinitely due to missing client content, New Wolf reserves the right to issue a milestone invoice for development hours spent to date.

-Scope Drift Security: Your package price explicitly covers the technical features chosen during your initial discovery phase. Any extra features requested during or after production (e.g., dynamic booking calendars, learning management frameworks, or multi-language matrices) will be treated as separate line-item add-ons billed separately.

-Demo Domain Governance: All active website design and application layouts remain hosted on a private New Wolf demo server structure during production. No live server access, file handovers, or DNS target routing will be granted to the Client until the final 50% project development invoice is settled in full.

3. Telecom, LTE, & Fibre Infrastructure (Connectivity Terms)

This section governs all month-to-month and automated data connectivity profiles supplied through our verified tier-1 wholesale networks (Axxess Business Partner Matrix).

-Mandatory Two (2) Calendar Months' Cancellation Notice: All data lines (Home Fibre, Open-Access Networks, and Home Wireless LTE lines) operate on a flexible, contract-free, month-to-month basis. However, to terminate an active data line or realm routing profile, the Client must submit a formal written notice of cancellation via email. This action is subject to a strict two (2) calendar months' notice period before the connection line is systematically decommissioned.

Flexible Debit Order Frequencies: Clients opting for automated recurring debit runs can explicitly select between two monthly processing dates during their subscription checkout on the New Wolf website:

The 1st of every calendar month (Standard automated data window)

The 23rd of every calendar month (Early mid-month payroll run alignment)

Manual EFT Payment Allowances: Clients may elect to settle their connectivity subscription via manual Electronic Funds Transfer (EFT). Because upstream telecom resources operate on a strict prepaid balance structure, all manual EFT payments must clear in full prior to your selected billing window. Proof of payment must be emailed immediately to payments@yourdomain.co.za.

Automated Lapsed Account Suspension: If an automated debit order is declined, or if a manual EFT payment does not reflect in our system within 72 hours of its billing date, the line profile will automatically flag as lapsed. New Wolf reserves the absolute right to instantly suspend the LTE or Fibre line link to protect wholesale account margins. A standard Account Reactivation Fee applies to clear lines post-suspension.

-Fair Usage Policies (AUP): Uncapped lines are subject to standard unshaped and capped acceptable use metrics enforced directly by underlying network providers (MTN, Telkom, Vodacom, Openserve, Frogfoot, MetroFibre, etc.).

4. E-Commerce Operational Gateway TermsThis section governs all online stores engineered by New Wolf Technologies and products processed through our checkout engines.

Transactional Engine Responsibility: New Wolf does not charge additional transaction fee surcharges on top of standard retail purchases made across Client platforms. The Client remains solely responsible for all underlying transaction percentages, processing gateway fees, and monthly platform costs levied by third-party payment gateways (e.g., PayFast, Peach Payments, Ozow).

Tokenization Security: All credit card and payment processing data handled via automated subscription upgrades utilizes tokenized gateway storage. New Wolf leverages secure automated billing updaters (such as Visa Account Updater and Mastercard Automatic Billing Updater) to safely capture renewal paths and protect continuous recurring service delivery.

Digital Subscription Product Rules: Digital vouchers, active LTE SIM activations, and custom domain names cannot be canceled mid-term once provisioned. No prorated refunds are issued for data connectivity caps or monthly hosting blocks once a monthly billing cycle has processed.

5. Managed Shared & VPS Hosting Environments

-Definition of Unlimited Shared Traffic: "Unlimited Bandwidth" on local Linux and WordPress environments means New Wolf does not apply an arbitrary cap on regular website traffic. However, "Unlimited" explicitly DOES NOT mean an account can be used as a public media streaming hub, file sharing warehouse, or mass backup cloud storage vault.

-Anti-Abuse Resource Allocation: Any shared environment found to be severely damaging server CPU, memory, or network performance for other platform subscribers will be immediately flagged. Clients managing large-scale resource profiles will be moved to an independent Virtual Private Server (VPS) or Dedicated Server environment to preserve network integrity.

-Reselling Restrictions: Reselling system resources inside standard client accounts is strictly prohibited. Reselling functionalities are only authorized if you are deployed on a specific managed White-Label Reseller tier or private VPS allocation.

6. Prohibited Conduct & Cyber-Security

New Wolf enforces a zero-tolerance policy against malicious web activity. Immediate, unnotified account suspension and contract termination will occur if a Client platform participates in any of the following:

1.Unsolicited Mass Emailing (Spam): Deploying mailboxes for bulk cold spam or deceptive marketing funnels.
2.Malicious Content Deployment: Hosting explicit pornography, malware, pirated software links, warez, or content promoting hate speech or systemic fraud.
3.Reverse Engineering: Attempting to reverse compile or derive the underlying source code, proprietary system nodes, or theme styling values engineered by New Wolf Technologies.

7. Legal Protections, Liabilities, and Force Majeure

-Limitation of Liability: All technical services, web builds, and hosting arrays are provided strictly on an "as is" and "as available" basis. New Wolf (Pty) Ltd, its directors, and technical teams cannot be held liable for any direct, indirect, incidental, or consequential economic loss, casual downtime, or revenue reduction caused by third-party code updates, global data center outages, upstream provider line cuts, or server hardware failures.

-Indemnification: You agree to fully indemnify, defend, and hold harmless New Wolf (Pty) Ltd against all legal claims, fines, damages, settlement costs, and investigative fees arising from a breach of this agreement or data generated through your active platforms.

-Force Majeure: New Wolf will not be held legally responsible for any systemic failure, line latency, or deployment delay if caused by acts of God, declared war, national power grid load-shedding failures, severe storms, earthquakes, labor strikes, or unforeseen global supply chain deficiencies.

8. Statutory Compliance (POPIA & CPA)

POPIA Declaration: In compliance with the Protection of Personal Information Act (POPIA), New Wolf explicitly protects all client registration parameters. Your email data, physical address coordinates, and contact details are used solely for localized coverage checks, automated billing, and private system management. Your data will never be sold or exposed to third-party marketing brokers.

Age of Majority: New Wolf does not accept legal agreements, technical briefs, or subscription payments from individuals under the legal age of 18 years. By checking out, you confirm full compliance with the age of majority.
